We have rigorous internal policies and processes that guide our activities and ensure that we comply with the strict requirements of the Corporate Governance Guidelines issued by the Canadian Securities Administrators, as well as the United States Sarbanes-Oxley Act of 2002, the Corporate Governance Rules adopted by the New York Stock Exchange and the United States Securities and Exchange Commission.
Our corporate governance system, adopted by the Board of Directors in 1997, deals with, among other things, the responsibilities of directors, Board practices, and the constitution of the Board and its committees.
As per the Guidelines, Domtar’s Board has a number of procedures in place to ensure that it can function independently from management.
Domtar has recourse to external auditors, who are responsible for auditing our consolidated financial statements and giving an opinion thereon.
Code of Ethics and policies
Our directors and employees, subsidiaries, operating groups and locations are governed by our Code of Ethics. We believe that ethical standards affect everything we do and that each individual within the company shares responsibility for the quality of Domtar’s ethical behaviour.
Domtar also has internal policies that support our Code of Ethics.
